PaySpot Tenant Service Agreement
This Tenant Service Agreement is entered into between PaySpot and the tenant, business, hotspot operator, or account owner using the PaySpot platform. By creating a tenant account, using PaySpot, clicking an acceptance button, continuing to use the service after notice of updated terms, or paying a PaySpot subscription invoice, the Tenant agrees to this Agreement.
1. Service Provided
PaySpot provides software tools for Wi-Fi hotspot operators, including tenant storefronts, voucher sales, payment collection, voucher delivery, captive portal support, subscription management, referral tracking, and related administrative tools.
PaySpot is a software platform. Unless expressly agreed in writing, PaySpot does not own, operate, repair, or guarantee the Tenant's physical routers, internet connection, access points, network equipment, Paystack account, SMS provider account, or third-party services.
2. Tenant Responsibilities
The Tenant is responsible for providing accurate business, billing, contact, and payout information; keeping third-party credentials accurate and secure; ensuring voucher plans, prices, data limits, validity periods, and customer-facing service descriptions are accurate; providing internet service to end users after a valid purchase; handling local customer support, network outages, refund requests, and service complaints unless the issue is directly caused by PaySpot; and complying with applicable laws, telecom rules, tax obligations, consumer protection rules, data protection rules, and payment provider policies.
3. Subscription Fees
The Tenant agrees to pay PaySpot the subscription fee, platform fee, or billing arrangement shown in the PaySpot dashboard, invoice, written approval message, or other written notice from PaySpot.
Subscription fees are billed according to the billing cycle assigned to the Tenant account, such as monthly, yearly, or another written billing period. Unless otherwise stated in writing, subscription fees are due before the next billing cycle begins.
4. Pricing Changes
PaySpot may update subscription pricing, platform fees, billing models, or plan terms by giving reasonable notice before the new pricing takes effect.
For existing tenants, updated pricing will normally apply from the next billing cycle after notice is given, unless a different effective date is stated in writing. Continued use of PaySpot after the effective date of a pricing update means the Tenant accepts the updated pricing.
5. Discounts, Special Pricing, and Informal Arrangements
Any discount, special price, referral arrangement, promotional offer, or custom billing term must be confirmed in writing by PaySpot.
PaySpot may end, revise, or refuse to renew discounted pricing if the discount period expires, the Tenant fails to meet the condition attached to the discount, the Tenant does not make agreed referrals or business contributions, the Tenant breaches this Agreement, or PaySpot gives notice that the account will return to standard pricing from the next billing cycle.
Informal discussions, verbal promises, goodwill discounts, or temporary arrangements do not override this Agreement unless confirmed in writing by PaySpot.
6. Referral Program
PaySpot may offer a referral program through the platform. A Tenant may share its referral code with another hotspot operator or business that is not already a PaySpot tenant or known active lead.
A referral is counted as converted only when the referred business signs up with the Tenant's referral code, is approved by PaySpot, becomes an active paying tenant, and completes the required first subscription payment or qualifying billing period.
Unless PaySpot states different written terms, every three converted referrals earns the referring Tenant one free month of PaySpot service. Referral credits stack in groups of three converted referrals. Referral rewards have no cash value unless PaySpot expressly states otherwise in writing.
PaySpot may verify referrals before applying rewards and may refuse, delay, or cancel referral rewards where a referral is disputed, unverifiable, abusive, duplicated, self-referred, or not commercially genuine.
7. Payment Processing
Customer payments may be processed through Paystack or another supported payment provider. The Tenant understands that PaySpot may rely on third-party payment verification before releasing vouchers, activating access, or marking a transaction successful.
PaySpot is not responsible for delays, failed payments, chargebacks, payment provider downtime, bank transfer delays, incorrect customer details, or payment provider restrictions outside PaySpot's control.
8. Voucher Delivery and Access Activation
PaySpot will attempt to deliver vouchers or activate access after successful payment confirmation. Delivery may occur on-screen, by email, by SMS, through captive portal integration, through RADIUS, through MikroTik, through Omada, or by another configured delivery method.
The Tenant is responsible for maintaining enough voucher stock or valid automation credentials where required. If voucher stock is unavailable, router integration fails, or third-party systems are misconfigured, PaySpot may be unable to complete access delivery until the Tenant resolves the issue.
9. Tenant Data and Customer Data
PaySpot may process Tenant and customer data necessary to operate the service, including names, emails, phone numbers, payment references, voucher records, login sessions, and network access records.
The Tenant is responsible for ensuring it has the right to collect and use customer data submitted through its hotspot service. PaySpot will take reasonable steps to protect data handled by the platform, but the Tenant must also protect account credentials and avoid sharing dashboard access with unauthorized persons.
10. Acceptable Use
The Tenant must not use PaySpot to sell illegal, fraudulent, misleading, or unauthorized services; misrepresent internet speed, data limits, duration, pricing, or availability; abuse payment systems, referral rewards, vouchers, or customer data; attempt to bypass PaySpot billing or platform controls; interfere with PaySpot infrastructure, security, or other tenants; upload malicious files; spam customers; or violate third-party platform rules.
11. Suspension or Termination
PaySpot may suspend or restrict a Tenant account if subscription fees are unpaid, the Tenant breaches this Agreement, required payment, router, or access credentials are invalid, the Tenant misuses the referral program, the Tenant creates legal, security, fraud, reputational, or operational risk, or PaySpot is required to act by law, payment provider, hosting provider, or regulator.
PaySpot may terminate an account after notice where reasonable, or immediately for serious abuse, fraud, unlawful activity, or security risk.
12. Refunds
PaySpot subscription fees are generally non-refundable once a billing cycle has started, unless PaySpot decides otherwise or applicable law requires a refund.
Customer refunds for hotspot end users are primarily the Tenant's responsibility, unless the failed service was directly caused by PaySpot.
13. Service Availability
PaySpot will make reasonable efforts to keep the platform available and functional. However, PaySpot does not guarantee uninterrupted service. Downtime may occur due to maintenance, hosting issues, third-party provider downtime, network problems, payment provider issues, router misconfiguration, or events outside PaySpot's control.
14. Limitation of Liability
To the maximum extent allowed by law, PaySpot will not be liable for indirect, incidental, special, consequential, or lost-profit damages.
PaySpot's total liability for claims relating to a Tenant account will not exceed the subscription fees paid by that Tenant to PaySpot during the one month immediately before the event giving rise to the claim. This limitation does not exclude liability that cannot legally be excluded.
15. Changes to This Agreement
PaySpot may update this Agreement from time to time. When material changes are made, PaySpot may notify Tenants by email, dashboard notice, login prompt, invoice note, or other reasonable method.
The Tenant may be required to accept the updated Agreement before continuing to use the platform. Continued use after the effective date means the Tenant accepts the updated Agreement.
16. Electronic Acceptance
The Tenant agrees that clicking an acceptance button, ticking a checkbox, submitting a setup form, paying an invoice, or continuing to use PaySpot after notice may serve as electronic acceptance of this Agreement.
PaySpot may record the Tenant ID, user ID, email address, acceptance timestamp, IP address, user agent, and Agreement version as evidence of acceptance.
17. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria, unless PaySpot states another governing law in a written agreement with the Tenant. The parties will first attempt to resolve disputes in good faith. If unresolved, disputes may be handled by a court or competent authority in Nigeria.
18. Entire Agreement
This Agreement, together with any pricing notice, invoice, dashboard billing terms, written approval message, privacy notice, and accepted platform policy, forms the complete agreement between PaySpot and the Tenant.
It replaces prior informal discussions, verbal arrangements, temporary discounts, or side agreements unless PaySpot confirms otherwise in writing.

Tenant Acceptance Statement
- I am authorized to accept this Agreement for the Tenant account.

- I agree to the subscription pricing, billing cycle, referral rules, and tenant responsibilities.
- I understand that discounts or special pricing are not permanent unless confirmed in writing by PaySpot.
- I agree that my electronic acceptance may be recorded and used as evidence of agreement.
